Terms of Service

These Terms of Service ("Terms") are an agreement between you and KONAH MEDIA GROUP LLC, a Virginia limited liability company located at 12781 Darby Brook Ct Ste 102, Woodbridge, VA 22192, USA ("KONAH", "we", "us"). They govern your use of KONAH Studio, including our websites, apps, client galleries, client portals, studio websites, KONAH AI and related services (the "Service"). By creating an account or using the Service, you agree to these Terms, our Acceptable Use Policy, Copyright Policy and Billing & Cancellation Policy. Our Privacy Policy explains how we handle personal data.

1. Who can use KONAH Studio

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. KONAH Studio is a business tool for photographers, videographers and creative teams. If you use it on behalf of a company, you confirm you have authority to bind that company, and "you" includes it. The Service is not directed to children under 13 and we do not knowingly collect their personal information.

2. Accounts and studios

You're responsible for your login credentials and for everything that happens in your account. A "Studio" is a workspace you create. The Studio owner controls the Studio, its billing, its content and who has access. Owners and admins may invite team members and assign roles; you're responsible for your team's use of the Service. Tell us right away at support@konahmedia.com if you suspect unauthorized access.

3. Your content belongs to you

You keep all ownership rights in the photos, videos, files, text and other material you or your team upload ("Your Content"). You grant KONAH a worldwide, non-exclusive, royalty-free license to host, store, copy, process (including creating thumbnails and previews), transmit and display Your Content only as needed to operate, secure and improve the Service for you — for example to deliver galleries to the people you share them with and to show portfolio items on your studio website when you choose to publish them. This license ends when Your Content is deleted from the Service, except for copies in backups that are purged on our normal schedule, and content that others have already downloaded.

We do not sell Your Content, and we do not use your images or videos to train artificial-intelligence models.

4. Your responsibilities for content

You confirm that you own or have all rights, licenses, consents and releases (including model and property releases where required) needed to upload, store and share Your Content, and that Your Content and your use of the Service comply with the law and our Acceptable Use Policy. When you add your own clients' information (like names and email addresses) to the Service, you are responsible for having a lawful basis to do so and for your communications with them, including under anti-spam laws such as CAN-SPAM.

5. Client galleries and portals

Galleries and portals are reached by private links that you control. Anyone with a link (and PIN, if set) can view the content you share there. You choose whether downloads are allowed, whether to set a PIN or expiry date, and who receives links. Clients who use a gallery or portal agree to use it only for its intended purpose. Each studio, not KONAH, is responsible for its relationship with its own clients, including pricing, deliverables, contracts and refunds for its services. Payments a studio collects from its clients (including through payment links, Zelle, Venmo or cash) are between the studio and its client; the "paid" setting in KONAH Studio is a convenience for the studio and is not a payment service.

6. KONAH AI

KONAH AI generates text suggestions (such as descriptions, emails and captions) from the information you provide, using third-party AI model providers listed on our Subprocessors page. AI output can be inaccurate, incomplete or similar to content produced for others. You must review output before using it, and you are responsible for what you publish or send. We make no warranty that AI output is accurate, original, or free of third-party rights. Don't submit sensitive personal data to KONAH AI. Where the law requires AI-generated content to be disclosed, you're responsible for disclosing it.

7. Plans, storage and fees

Paid plans are billed in advance on a recurring basis until cancelled, as described in our Billing & Cancellation Policy. Each plan includes a storage allowance shared across photos, video and files. If you exceed your allowance, new uploads pause until you free up space, add storage or upgrade — we will not delete Your Content for exceeding your allowance without at least 60 days' notice. Prices may change; we'll give you at least 30 days' notice of any price increase before it applies to you, and you can cancel before it takes effect. Taxes may apply.

8. Third-party services

The Service works with third-party services such as payment processing (Stripe), email delivery, AI providers and optional add-ons like KONAH CRM. Your use of those services may be subject to their terms. We're not responsible for third-party services we don't control.

9. Suspension and termination

You can stop using the Service and delete your Studio at any time from Settings. We may suspend or terminate access if you materially breach these Terms or our policies, if required by law, or to protect the Service, our users or the public. Where reasonable, we'll give notice and a chance to fix the issue first. We terminate accounts of repeat copyright infringers in appropriate circumstances. After termination or deletion, we may delete Your Content as described in the Billing & Cancellation Policy. You can export your data at any time before deletion.

10. Disclaimers

We work hard to keep the Service available and your files safe, but the Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. KONAH Studio is not a backup service of last resort — keep your own copies of important originals.

11. Limitation of liability

To the fullest extent permitted by law, KONAH and its members, managers, employees and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) US $100. Some jurisdictions don't allow these limits, so they may not apply to you.

12. Indemnity

You'll defend and indemnify KONAH against claims, damages and costs (including reasonable attorneys' fees) arising from Your Content, your use of the Service, or your breach of these Terms or the law, to the extent permitted by law.

13. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia and applicable US federal law, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at legal@konahmedia.com and try to resolve it informally for 30 days. Any lawsuit must be brought in the state courts located in Prince William County, Virginia, or the United States District Court for the Eastern District of Virginia, and both parties consent to their jurisdiction. If you are a consumer in the European Union, United Kingdom or another country that gives you mandatory protections, nothing in these Terms takes away those protections or your right to bring claims in your home courts.

14. Changes

We may update these Terms. If a change is material, we'll notify you by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that means you accept the updated Terms.

15. General

These Terms are the entire agreement between you and KONAH about the Service. If any part is unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
